These Terms and Conditions ("Agreement") govern your use of the services and website operated by Wangi, a heritage residence search and tenancy coordination practice based in Melaka, Malaysia. Please read this Agreement carefully before engaging our services or using our website.
1. Definitions
Throughout this Agreement, the following terms carry the meanings set out below:
- "Wangi", "we", "us", or "our" refers to Wangi, operating from Jalan Hang Tuah, Bandar Hilir, 75000 Melaka, Malaysia.
- "Services" refers to the Melaka Heritage Residence Search, Tenancy Coordination & Lease Review, and Signature Heritage Residence Programme, and any ancillary advisory services we provide.
- "User" or "you" refers to any individual or entity that accesses our website or engages our services.
- "Agreement" means these Terms and Conditions in their entirety, together with any written service engagement letter or proposal issued by us.
- "Content" means all text, images, residence descriptions, advisory materials, and other information published on our website or shared in the course of service delivery.
- "Heritage Residence" means a property located within or adjacent to Melaka's UNESCO World Heritage listed zone, including Peranakan shophouse upper floors, riverside residences, and architecturally considered apartments within Bandar Hilir.
2. Acceptance of Terms
By accessing our website, submitting an enquiry, or engaging any of our services, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into a binding agreement under Malaysian law.
- You have read, understood, and agree to be bound by this Agreement.
- Where you act on behalf of a company or other legal entity, you have the authority to bind that entity to this Agreement.
If you do not agree to these Terms and Conditions, please do not proceed with any service engagement or use of our website.
3. Service Description
Wangi provides considered advisory and coordination services for individuals and families seeking heritage residential arrangements in Melaka. Our three service tiers are:
- Melaka Heritage Residence Search (RM 2,290): A focused search covering the UNESCO core, riverside residences, and Bandar Hilir apartments. Each candidate property is pre-visited and assessed for building condition, light, and practical heritage character before viewings are arranged.
- Tenancy Coordination & Lease Review (RM 4,650): Comprehensive coordination covering owner verification, lease drafting and review, deposit management, inventory documentation, and move-in walkthrough. A single point of contact is available throughout.
- Signature Heritage Residence Programme (RM 9,400): A relationship-led arrangement for clients seeking Melaka's most carefully selected heritage residences. Includes private viewings, heritage-context dossiers, arrival reception, household introductions, and continuing concierge attention.
Service availability is subject to property market conditions in Melaka. We reserve the right to advise where a suitable property cannot be identified within a reasonable period and will communicate this clearly.
4. User Responsibilities
4.1 Accurate Information
You agree to provide accurate, complete, and current information when enquiring about or engaging our services. Providing false or misleading information may affect the quality of our advisory work and may result in termination of the engagement.
4.2 Acceptable Use of Website
You agree not to:
- Use our website in any manner that could damage, disable, or impair its operation.
- Attempt to gain unauthorised access to any part of our systems or data.
- Reproduce, redistribute, or commercially exploit any Content without our written consent.
- Use automated tools to scrape, crawl, or harvest data from our website.
- Transmit any unsolicited commercial communications through our contact channels.
4.3 Cooperation
You agree to respond to reasonable requests for information and to engage in good faith throughout the service process. Timely communication supports the quality of our advisory work on your behalf.
5. Intellectual Property
All Content on this website, including residence descriptions, advisory commentary, photography, design elements, and written materials, is the intellectual property of Wangi or our licensed contributors and is protected under Malaysian copyright law and applicable international conventions.
We grant you a limited, non-transferable licence to access and view Content for your personal, non-commercial use only. This licence does not permit you to:
- Copy, modify, or distribute Content without prior written permission.
- Use Content for any commercial purpose or public display.
- Remove any copyright, trademark, or proprietary notices from Content.
Any feedback, suggestions, or material you share with us in the course of an engagement may be used by us to improve our services without any obligation to you.
6. Payment Terms
6.1 Fees
Service fees are as set out in our current schedule and confirmed in any written engagement letter. All fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise.
6.2 Payment
Payment terms, schedules, and accepted methods will be set out in your engagement letter. We accept bank transfer and other methods as agreed in writing. Engagement commences upon receipt of any deposit or confirmed payment as specified.
6.3 Refunds
Refund terms are as set out in your individual engagement letter. Where a suitable residence cannot be identified after reasonable effort has been made on our part, we will work with you in good faith to determine an appropriate resolution, which may include a partial refund or service credit. Fees for work already completed are not subject to refund.
6.4 Late Payment
Where fees remain unpaid beyond agreed terms, we reserve the right to suspend active service work until the account is brought current.
7. Service-Specific Terms
7.1 Residence Search
Our search service provides advisory recommendations based on our assessment of available properties at the time of engagement. Property availability is subject to the Melaka market and cannot be pre-determined. Our role is advisory in nature; decisions regarding any property remain with you.
7.2 Tenancy Coordination
Our coordination service supports the tenancy process but does not constitute legal advice. For matters requiring legal counsel, we recommend engaging a qualified Malaysian solicitor. Heritage residences may carry particularities — including heritage fixtures, shared service areas, and conservation-related conditions — which we document carefully and communicate clearly.
7.3 Signature Programme
The Signature Heritage Residence Programme is a relationship-led engagement. Services under this programme are carried out with care and consideration; however, specific outcomes, including the availability of particular residences or the provision of certain household staff, cannot be pre-committed and are subject to prevailing conditions in Melaka.
7.4 Third-Party Relationships
Our services may involve coordination with property owners, legal practitioners, and household service providers. We act as your representative in good faith but are not responsible for the conduct, representations, or actions of third parties.
8. Disclaimers
Our services are provided on a considered best-efforts basis. While we approach each engagement with care, we do not warrant that:
- A residence matching your specific requirements will be available within any particular timeframe.
- Information provided about any property — including condition assessments — will remain accurate beyond the date of inspection.
- Our website will be uninterrupted, error-free, or free from technical issues at all times.
Nothing in this Agreement constitutes legal, financial, or investment advice. You are encouraged to obtain independent professional advice where appropriate before entering into any tenancy or property arrangement.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Wangi's total liability to you in connection with any engagement shall not exceed the fees paid by you for the specific service giving rise to the claim.
We shall not be liable for any indirect, consequential, incidental, or special losses arising from your use of our services or website, including but not limited to loss of income, loss of opportunity, or damage to your reputation, even where such losses were foreseeable.
Nothing in this Agreement limits our liability for death or personal injury caused by negligence, or for fraudulent misrepresentation, or any other liability that cannot be excluded under Malaysian law.
We are not responsible for disruptions to service caused by circumstances beyond our reasonable control, including but not limited to natural events, utility outages, or acts of government authority affecting the Melaka heritage zone.
10. Indemnification
You agree to indemnify and hold Wangi harmless from any claims, losses, liabilities, or expenses (including reasonable legal costs) arising from your breach of this Agreement, your misuse of our website, or any false information you provide to us in the course of an engagement. This indemnification obligation survives termination of any service arrangement.
11. Termination
11.1 Termination by You
You may withdraw from a service engagement at any time by notifying us in writing. Fees for work completed up to the date of withdrawal are payable. Any deposit paid may be applied against work completed; remaining amounts are subject to the refund terms in your engagement letter.
11.2 Termination by Us
We reserve the right to discontinue a service engagement where you have provided materially false information, where payment obligations have not been met, or where the engagement cannot reasonably proceed. In such circumstances, we will communicate our decision in writing and apply any fees as set out in your engagement letter.
11.3 Survival
Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive any termination of this Agreement.
12. Dispute Resolution
12.1 Governing Law
This Agreement is governed by the laws of Malaysia, including the Contracts Act 1950 and the Consumer Protection Act 1999 where applicable.
12.2 Jurisdiction
Any disputes arising from or in connection with this Agreement shall be subject to the jurisdiction of the courts of Malaysia, with Melaka as the preferred venue.
12.3 Informal Resolution
We prefer to resolve any concerns directly and in good faith. Before commencing formal proceedings, we ask that you contact us at [email protected] so we may attempt to resolve the matter within 30 days.
12.4 Mediation
Where informal resolution is not reached, both parties agree to consider mediation through an accredited mediator in Malaysia before pursuing litigation, except where interim injunctive relief is required.
13. General Provisions
- Entire Agreement: This Agreement, together with any written engagement letter, constitutes the entire agreement between you and Wangi regarding the subject matter herein.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full effect.
- Waiver: Our failure to enforce any provision of this Agreement at any time does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our obligations to a successor entity without your consent.
- Notices: Notices under this Agreement may be delivered by email to addresses on record or by post to our registered address in Melaka.
14. Changes to These Terms
We may update these Terms and Conditions from time to time to reflect changes in our services, applicable law, or our operational practices. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of our website or services following any update constitutes your acceptance of the revised terms. For active engagements, we will notify you directly of any material change that affects your arrangement.
